  1. Mailing address

Your LLC will already have a mailing address from when it was formed. You can enter the same address here or you can change it. The mailing address doesn’t have to be a Wyoming address.

  1. Principal address

The principal address is the main address of your business. You will already have the principal address from your LLC formation. This can be the same as your mailing address.

Remember that both the mailing and principal address will be available in public records. Start in Wyoming customers will use our information here. We also handle the annual reports as part of our formation service.

  1. Filing Fees

This is the section where you have to disclose any assets your LLC has located or employed in Wyoming over the last fiscal year. These assets are related to your business, not personal assets.

Most businesses won’t have assets in Wyoming so you can enter “0” for all these. If you do, the form will calculate your Wyoming LLC annual report fee.

What is an Annual Report?

A Wyoming LLC Annual Report is a mandatory filing that updates the state with your company’s current business information and determines your annual license tax.

You’ll need to submit this report every year before the first day of your formation month to maintain your LLC’s good standing with the Secretary of State.

Remember that your Annual Report filing is separate from any financial reports you prepare for tax purposes. You’re responsible for submitting this report on time, regardless of whether you receive the state’s courtesy email reminders.

Why is a Wyoming Annual Report Required?

The state of Wyoming requires Annual Reports to maintain accurate records of all active businesses. This reporting requirement helps the Secretary of State track important company information and asset values.

It’s also a way to confirm your LLC remains in good standing and continues to enjoy the benefits of operating in Wyoming.

It can be broken down into three factors:

  1. Verifies your LLC’s compliance with state regulations and maintains its legal status
  2. Updates the state about any changes in your business assets, which determines your filing fee
  3. Provides current information for state records.

Who Can File an LLC Annual Report in Wyoming?

In Wyoming, several parties can legally file an LLC Annual Report, including the LLC’s owners (members), managers, registered agents, or authorized representatives.

We file the annual report on behalf of LLC owners when the register a Wyoming LLC through us. This means you never miss a deadline and a local attorney handles things securely.

What Happens if an Annual Report is Late?

Your business will be considered delinquent on the second day of the following month. If you continue to fail to file your annual report, your LLC will face administrative dissolution 60 days after the original due date.

A delinquent LLC means it’s subject to dissolution if you do not provide an annual report within 60 days. This can negatively impact your LLC status and will require you to submit a reinstatement form with a $100 fee and any additional penalties.

Don’t risk your LLC’s legal status by missing this vital filing. Administrative dissolution is the number one reason Wyoming LLCs lose their good standing.

Do I Get Reminders When My Annual Report is Due?

The state will send you three courtesy email reminders before your filing deadline:

  • 60 days before due date
  • 30 days before due date
  • 10 days before due date

These reminder emails come from SOS_AnnualReports@wyo.gov, so you’ll want to add this address to your safe senders list to guarantee you receive these important notifications.

To receive these reminders, you must have a valid email address on file with the Secretary of State’s office.

Even if you don’t receive these reminders, you’re still required to file your annual report on time.
